Terms & Conditions

This Services Agreement (the “Agreement”) contains the complete terms and conditions that govern your subscription to Website Design, Development, and Hosting services provided by Piege 360 (Pty) Ltd (the “Services”). In this Agreement, “Piege 360” means Piege 360 (Pty) Ltd, and “Client”, “you” or “your” means you. You acknowledge that you have read this Agreement and agree to its terms and conditions and to all policies posted on the Piege 360 site. As used herein, “Site” refers to a World Wide Web site, and “Piege 360 Site” refers to the Site located at https://www.peige360.co.za/terms-and-conditions/ or any successor Sites owned or maintained by Piege 360.

The following terms and conditions apply to all website development/design and hosting services provided by Piege 360 to the Client.

Acceptance

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote, then the Client is deemed to have satisfied themselves as to the terms and to have accepted these terms and conditions in full.

By engaging in our services without prior consultation or quotation acceptance, you acknowledge and accept these terms and conditions.

Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.

Quotation and Work Instruction

It is a fundamental requirement that Clients request and accept a formal quotation from Piege 360 before any work commences. In the event that a Client instructs work without prior acceptance of a formal quotation, the work undertaken shall be billed at Piege 360’s standard rates.

Should a Client choose to instruct work without formally requesting and accepting a quotation, it is expressly understood that the Client waives the right to dispute the charges associated with the provided services. By instructing work without a formal quotation, the Client acknowledges the agreed-upon rates and is obligated to pay for the services rendered.

This clause is designed to ensure transparency and fair business practices. It is the responsibility of the Client to request and accept a formal quotation from Piege 360 to avoid any misunderstandings regarding service charges.

Charges

Charges for services provided by Piege 360 are defined in the project quotation that the Client receives via e-mail. Quotations are valid for a period of 30 days. Piege 360 reserves the right to alter or decline to provide a quotation after the expiry of the 30‑day period.

To initiate any work, all Clients are required to request and accept a formal quotation from Piege 360. Any work undertaken without an accepted quotation will be billed at Piege 360’s standard rates.

Unless agreed otherwise with the Client, all website design services require an advance payment of a minimum of seventy‑five (75) per cent of the project quotation total before the work is supplied to the Client for review. The remaining twenty‑five (25) per cent of the project quotation total is due upon completion of the work, prior to upload to the server or release of materials.

Payment for services is due by bank transfer (EFT) or online via our invoicing payment portal. Bank details will be made available on invoices.

Client Review

Piege 360 will provide the Client with a reasonable opportunity to review the appearance and content of the website during the design phase and upon completion of the overall website development. To ensure a smooth and successful project outcome, the following conditions apply:

  1. Timely Feedback:
    Upon project completion, the Client must review the materials and notify Piege 360 of any concerns, required revisions, or issues within ten (10) days of the date the materials are made available. Failure to respond within this timeframe will be taken as acceptance of the work.
  2. Adequate and Constructive Feedback:
    The Client is expected to provide clear, detailed, and actionable feedback. In the event that the Client raises concerns, Piege 360 will be afforded a reasonable opportunity to address and remedy these issues. Failure to provide sufficient detail or to engage in a constructive review process will be deemed as acceptance of the delivered work.
  3. Project Continuation and Pause Requests:
    Should the Client request a pause in the project without allowing Piege 360 the opportunity to rectify any identified issues during the review period, such a pause shall not be considered a valid basis for a refund or an adjustment of the deposit. The Client’s decision to delay or repeatedly request changes beyond the agreed process does not constitute grounds for refunding the deposit or any other fees, nor does it reflect any incompetence on the part of Piege 360.
  4. Deemed Acceptance:
    If the Client does not respond within the ten (10) day review period or provides inadequate feedback such that Piege 360 is unable to identify actionable revisions, the work will be deemed accepted and approved. Any subsequent complaints, including demands for a refund of the deposit or fees, will not be entertained.

By agreeing to these terms, the Client acknowledges that adherence to the review process is essential. Failure to provide timely and constructive feedback, or attempts to pause the project without allowing remediation, will result in the work being finalised and accepted as delivered, with no entitlement to a refund of the deposit or any payments made.

Turnaround Time and Content Control

Piege 360 will install and publicly post or supply the Client’s website by the date specified in the project proposal or by a date agreed upon with the Client upon receipt of the initial payment, unless a delay is specifically requested by the Client and agreed to by Piege 360.

In return, the Client agrees to designate a single individual as a primary contact to aid Piege 360 in progressing the commission in a satisfactory and expedient manner.

During the project, Piege 360 will require that the Client provide website content (text, images, movies, and sound files).

Failure to Provide Required Website Content

Piege 360 is a small business, and to remain efficient, work must be carried out according to schedule. If progress is delayed because the required information is not provided within the agreed timeframe, Piege 360 reserves the right to impose a surcharge.

Should you agree to provide the required information but then fail to do so within two weeks of project commencement, Piege 360 reserves the right to decline the project and the outstanding balance will become payable immediately.

NOTE: Text content should be delivered as a Microsoft Word document, email, or similar format, with the pages in the document representing the content of the relevant pages on your website.

Payment

Invoices will be provided by Piege 360 upon completion but before publishing the live website. Invoices are normally sent via email. All payments are due by the due date clearly indicated on your invoice.

Should payment not be received on time, interest charges will be applied at 1% per week, calculated on the total overdue sum.

To streamline our workflow and provide accurate quotes, all Clients are required to request and accept a formal quotation from Piege 360 before any work commences.

Additional Expenses

The Client agrees to undertake any additional expenses necessary for the completion of the work. Examples include the purchase of special fonts, stock photography, plugins, etc.

Graphic Design Services Disclaimer

Piege 360 is primarily focused on website design, development, and hosting. While our services may include graphic design elements, please note the following:

  • Outsourced Services: We do not employ in‑house graphic designers. Instead, any graphic design work is undertaken by our trusted external partners.
  • Software and Tools: The software and tools utilised by our outsourced graphic designers may differ from those used by a dedicated in‑house graphic design team.
  • Additional Costs: Comprehensive or customised graphic design services that extend beyond our standard website design packages will incur additional costs. Any such services, including revisions or extra requests, will be subject to a separate quotation and approval process.

 

By engaging our Services, the Client acknowledges and accepts that graphic design work is provided on an outsourced basis, and any additional graphic design requirements may incur extra charges.

Web Browsers

Piege 360 makes every effort to ensure that websites are designed to be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (e.g. Firefox, Internet Explorer, Google Chrome, etc.). However, to guarantee optimal compatibility, all Clients are required to request and accept a formal quotation from Piege 360 before any work commences.

Piege 360 cannot accept responsibility for web pages that do not display acceptably in new versions of browsers released after the website has been designed and handed over to the Client. Consequently, Piege 360 reserves the right to quote for any work involved in altering the website design or code for compatibility with updated browser software.

Default

Accounts unpaid 30 days after the invoice date will be considered in default. If the Client in default maintains any information or files on Piege 360’s web space, Piege 360 reserves the right, at its discretion, to remove all such material (including suspending the domain if hosted with Piege 360). Piege 360 is not responsible for any loss of data incurred due to this removal. Removal of such material does not relieve the Client of the obligation to pay any outstanding charges. Clients with accounts in default agree to pay Piege 360 reasonable expenses—including legal fees and costs for collection by third-party agencies—incurred in enforcing these Terms and Conditions.

Termination

Termination of services by the Client must be requested in writing and will be effective on receipt of such notice. Telephone requests for termination will not be honoured unless confirmed in writing. The Client will be invoiced for work completed up to the date of the first notice of cancellation, and payment in full is due within 30 days.

In the event of termination, the Client must settle any outstanding invoices within the stipulated timeframe.

Refund Policy

This Refund Policy forms an integral part of this Agreement. By engaging our Services, the Client agrees to the following refund terms, which are governed by South African law:

Non‑Refundable Deposits

All deposits paid to secure the commencement of work are strictly non‑refundable. Such deposits cover initial resource allocation and project scheduling. The Client acknowledges that these deposits will not be refunded upon cancellation or alteration of project scope unless expressly agreed in writing by Piege 360.

Eligibility for Refund

Website Design and Development:

  • A full refund (excluding the non‑refundable deposit) is available if the project has not commenced.
  • If work has begun, any refund will be calculated proportionately based on the work completed to date. Should the project reach 60% completion or be published/live on the server, no refund will be issued.

Hosting Services:

  • Refunds for hosting services will only be applicable if the hosting service has not been activated or, in the case of termination, as specified in the hosting terms. Once hosting services have been utilised, no refund shall be granted.

SEO and Content Writing (if provided):

  • Similar principles apply: a full refund (less the non‑refundable deposit) is available if the project has not started, while partial refunds (proportional to work not completed) may be available if work has commenced. No refund will be granted once significant progress (approximately 60% or more) has been made.

Client Cancellation, Revisions and Indecision

  • All cancellation requests must be made in writing.
  • Clients are required to provide clear and timely decisions during the project. Repeated or extensive requests for revisions beyond the original scope—resulting in delays or additional work—will incur extra charges.
  • Such client‑initiated changes or delays will not constitute grounds for a refund and shall not be construed as an admission of any incompetence on the part of Piege 360.

Refund Processing

Any approved refund (excluding non‑refundable deposits) will be processed and returned via the original payment method within 30 business days of the cancellation notice. The refund amount will always be calculated on the basis of the work completed up to the cancellation point.

Dispute Resolution

Prior to filing a formal refund claim, the Client is requested to contact Piege 360 at hello@peige360.co.za so that an amicable resolution can be sought. Only if such discussions fail to resolve the matter will the dispute be escalated according to the dispute resolution procedures outlined in this Agreement.

Hosting Services Terms & Conditions

In addition to the above, the following terms and conditions specifically apply to hosting services offered by Piege 360:

Hosting Setup and Maintenance

Piege 360 will provide hosting services as described in the chosen hosting plan. The setup and configuration of hosting services are included as part of the initial agreement. Any additional setup requirements not covered by the initial agreement may incur extra charges, which will be communicated to the Client.

The hosting plan includes regular maintenance and updates to ensure the security and performance of the hosting environment. Piege 360 will make reasonable efforts to minimise downtime during maintenance activities.

Data Backup and Loss

While Piege 360 performs regular backups of hosted websites, it remains the Client’s responsibility to maintain independent backups of any important data. Piege 360 is not liable for any loss of data, files, or information stored on the hosting server.

Server Resources and Usage

The hosting plan specifies the allocated resources for the Client’s website. Excessive usage of server resources that adversely affects the performance of the server or other hosted websites may result in additional charges or the suspension of hosting services. Piege 360 will endeavour to notify the Client of any resource usage concerns before taking action.

Security

Piege 360 will implement appropriate security measures to protect the hosting environment. However, the Client is responsible for securing their website by, for example, regularly updating software and using strong passwords. Piege 360 is not liable for any security breaches on the Client’s website.

Termination of Hosting Services

Termination of hosting services by the Client must be requested in writing and will be effective upon receipt of such notice. The Client is responsible for migrating their website to another provider or platform. Piege 360 will not be liable for any loss of data or disruption of services arising from the termination of hosting services.

Governing Law

This Agreement, including the Refund Policy and Hosting Services Terms & Conditions, shall be governed by South African law.

Liability

Piege 360, its employees and/or agents shall not be liable for:

  • Loss or damage caused by any inaccuracy or omission;
  • Loss or damage resulting from delay or error, whether due to negligence or any other cause in the production of the website;
  • Loss or damage to the Client’s artwork or photographs supplied for the website, irrespective of whether such loss or damage results from negligence or otherwise.

The total liability of Piege 360 to the Client in respect of any claim or breach of this Agreement shall be limited to the charges paid for the Services under this Agreement in relation to the matter giving rise to the claim.

Severability

Should any provision of this Agreement be held invalid, illegal, or unenforceable, the remaining provisions shall remain unimpaired and in full force. The invalid, illegal, or unenforceable provision shall be replaced by a mutually acceptable valid, legal, and enforceable provision that most closely reflects the intention of the parties.
